Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PonyLab platform ("Service"), operated by PonyLab ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or otherwise using the Service, you confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction, whichever is greater), have read and understood these Terms, and agree to be bound by them.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you and that organization.
2. Description of Service
PonyLab is an AI-native Laboratory Information Management System (LIMS) and Electronic Lab Notebook (ELN) platform designed for research laboratories. The Service includes tools for experiment management, sample tracking, inventory control, protocol management, team collaboration, and AI-powered data analysis.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
3. User Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:
- Provide accurate, current, and complete registration information.
- Promptly update your information if it changes.
- Immediately notify us at [email protected] of any unauthorized use of your account.
- Not share your credentials or permit any third party to access the Service using your account.
We may suspend or terminate accounts that we reasonably believe are compromised or used in violation of these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Upload, transmit, or store content that is unlawful, harmful, defamatory, or infringing.
- Attempt to gain unauthorized access to the Service or its related systems.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated means (bots, scrapers, crawlers) to access the Service without our express written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service for research involving controlled substances, biological agents, or activities prohibited by applicable law without all required permits and authorizations.
We reserve the right to investigate and take appropriate action against violations, including removal of content and termination of accounts.
5. Intellectual Property
The Service, including its software, design, graphics, and documentation (excluding your data), is owned by PonyLab and protected by intellectual property laws. Nothing in these Terms grants you any rights in the Service other than those explicitly stated herein.
You retain all intellectual property rights in content you submit to the Service. By using the Service, you grant PonyLab a limited, non-exclusive license to host, store, and process your content solely to provide and improve the Service.
PonyLab is an open-source project. The core codebase is licensed under the terms specified in the project repository. These Terms govern your use of the hosted Service, not the source code itself.
6. Data Ownership
You own your lab data. All experimental records, samples, protocols, and other research data you create or upload ("Lab Data") remain your exclusive property. PonyLab provides the platform and infrastructure; we make no claim of ownership over your Lab Data.
You may export your Lab Data at any time using the built-in export tools. Upon account deletion, we will make your data available for export for a period of 30 days before permanent deletion, unless a longer retention period is required by law.
We process your Lab Data only as necessary to provide the Service, comply with legal obligations, and (in aggregate, anonymized form) improve platform performance. We do not sell your Lab Data to third parties.
7. Payment & Billing
Certain features of the Service require a paid subscription ("Subscription"). By subscribing, you authorize us to charge your designated payment method on a recurring basis for the applicable fees.
- All fees are quoted in US dollars and are non-refundable except as required by law or as explicitly stated in our refund policy.
- We reserve the right to change our pricing with at least 30 days' advance notice. Continued use after the price change constitutes acceptance.
- Failure to pay may result in suspension or termination of your Subscription.
- For academic and non-profit institutions, discounted plans may be available — contact [email protected].
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL PONYLAB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, the above limitations apply to the fullest extent permitted by law.
9. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in Settings. Upon termination, your right to use the Service ceases immediately.
We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms or that your use of the Service poses a risk to us, other users, or third parties.
Sections 5, 6, 8, and 10 survive termination of these Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PonyLab is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction therein.
11. Changes to Terms
We may modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you via email or an in-app notice at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.
